SECTION 1 — INTRODUCTION, LEGAL FRAMEWORK AND DEFINITIONS
1.1 Legal Nature and Purpose of the Agreement
These Terms and Conditions (“Terms”) constitute a legally binding agreement between Nowaitlist Pieces, as operator of the Platform, and any individual or entity that accesses, browses, interacts with, contributes to, or otherwise engages with the Platform in any capacity.

1.2 Institutional Character of the Platform
Nowaitlist Pieces does not operate as a user-generated content forum, informal publication, or open-access commentary platform. It functions as a structured editorial and cultural institution producing curated, controlled, and professionally governed media outputs with a defined editorial identity and standard.
The Platform retains full discretion over the nature, scope, tone, distribution, and presentation of all Content published under its name, including but not limited to editorial narratives, athlete profiles, cultural analysis, and commercial or institutional collaborations.
The User acknowledges and agrees that interaction with the Platform occurs within a controlled media environment comparable in structure and governance to professional sports media organisations, luxury industry publications, and rights-holding editorial institutions.
1.3 Scope of Application
These Terms apply to all forms of interaction with the Platform, including but not limited to access to websites, digital publications, editorial content, written works, visual assets, audiovisual productions, data representations, and any current or future technological or media extensions operated under the Nowaitlist Pieces brand identity.
These Terms further apply to all Users regardless of geographic location, jurisdiction, or method of access, including access via third-party platforms, embedded media, syndication, or authorised distribution channels.
1.4 Definitions and Interpretive Framework
For the purposes of these Terms, “Content” means all editorial, visual, audiovisual, written, graphical, and data-based materials produced, published, commissioned, or distributed by Nowaitlist Pieces, whether in digital or physical form.
“User” means any individual or entity that accesses, views, interacts with, or derives benefit from the Platform in any capacity.
“Contributor” means any individual or entity that submits, provides, commissions, or co-produces Content for or with Nowaitlist Pieces.
“Collaborator” means any brand, athlete, institution, organisation, or commercial partner engaging with Nowaitlist Pieces in an editorial, commercial, or media capacity.
“Platform” means all properties, systems, publications, and media infrastructures operated under or associated with the Nowaitlist Pieces brand, including any future extensions, applications, or distribution channels.
1.5 Legal Agreement Hierarchy
These Terms constitute the primary governing agreement for all Users of the Platform.
Where separate written agreements exist between Nowaitlist Pieces and any Contributor, Collaborator, or institutional partner, such agreements shall operate in parallel with these Terms. In the event of any conflict, the specific written agreement shall prevail solely in relation to its defined subject matter, while all remaining provisions of these Terms shall remain in full force and effect.
1.6 Capacity and Authority
By accessing or using the Platform, the User represents and warrants that they possess full legal capacity to enter into binding agreements under applicable law and that no restriction prevents their lawful use of the Platform.
Where a User acts on behalf of any organisation, institution, or legal entity, such User further represents and warrants that they are duly authorised to bind that entity to these Terms.
1.7 Institutional Positioning Acknowledgement
The User acknowledges and agrees that Nowaitlist Pieces operates as an evolving institutional media entity with professional editorial governance, structured media production systems, and developing rights-holding capabilities across sport, luxury, and cultural domains.
All interactions with the Platform are expected to reflect standards consistent with institutional media environments, including those associated with global sports federations, luxury publishing houses, and editorial rights organisations.
SECTION 2 — ACCEPTANCE OF TERMS AND LEGALLY BINDING CONSENT
These Terms constitute a legally binding agreement between the User and Nowaitlist Pieces upon any form of access, engagement, or interaction with the Platform.
Accessing or using the Platform in any capacity, whether direct or indirect, including browsing, viewing content, interacting with embedded media, receiving syndicated material, or engaging with associated digital or media channels, shall be deemed acceptance of these Terms.
Where the User does not agree to these Terms in full, the User must immediately cease all access to and use of the Platform.
Nowaitlist Pieces does not require separate affirmative acceptance, click-through confirmation, or written signature in order for these Terms to become binding. Continued access to or use of the Platform following publication of these Terms or any updated version shall constitute ongoing acceptance of the then-current version of these Terms.
The User acknowledges and agrees that acceptance of these Terms constitutes a binding legal agreement with the same effect as a duly executed written contract, enforceable in accordance with applicable law.
Nowaitlist Pieces reserves the right to rely on conduct-based acceptance, including continued access, viewing, interaction with Content, or use of Platform functionality, as evidence of agreement to these Terms.
SECTION 3 — MODIFICATIONS, GOVERNANCE UPDATES AND VERSION CONTROL
Nowaitlist Pieces reserves the right to amend, update, revise, supplement, replace, or otherwise modify these Terms at its sole discretion, where such modifications are reasonably required to reflect operational developments, legal or regulatory compliance requirements, institutional restructuring, editorial governance changes, technological advancement, or commercial and strategic evolution of the Platform.
Any updated version of these Terms shall become effective upon publication on the Platform, unless a later effective date is expressly stated. No prior notice shall be required for such amendments to take legal effect.
The User acknowledges that the Platform operates within a dynamic institutional and media environment, and that governance structures, editorial frameworks, and operational policies may evolve without prior consultation in order to preserve institutional integrity, compliance alignment, and operational continuity.
It is the responsibility of the User to review the most current version of these Terms. Continued access to or use of the Platform following any amendment constitutes binding acceptance of the revised Terms.
Nowaitlist Pieces shall not be liable for any loss, claim, misunderstanding, or damage arising from a User’s failure to review the most current version of the Terms.
Where material structural or governance-level changes are introduced, Nowaitlist Pieces may, at its discretion, publish version identifiers or update notices. Such publication shall be for informational purposes only and shall not affect the immediate legal enforceability of any updated Terms.
SECTION 4 — ACCESS, SUSPENSION AND TERMINATION OF RIGHTS
Access to the Platform is provided strictly at the discretion of Nowaitlist Pieces and does not create any vested, permanent, or guaranteed right of access for any User.
Nowaitlist Pieces reserves the right, acting reasonably and at its discretion, to control, limit, restrict, suspend, or permanently terminate access to the Platform or any part thereof, at any time, with or without notice, and without liability to the User, where such action is necessary to protect the integrity, security, operational continuity, editorial standards, commercial interests, or institutional reputation of the Platform.
Such measures may be implemented in response to suspected misuse, breach of these Terms, unlawful conduct, interference with systems or content, reputational risk, or any behaviour reasonably considered inconsistent with the institutional standards of the Platform.
Termination or suspension may apply to individual Users, associated accounts, related entities, or coordinated access patterns where reasonably necessary to protect the Platform’s integrity and operations.
The User acknowledges that Nowaitlist Pieces operates as a controlled institutional media environment and retains full authority over participation, contribution rights, visibility, and access conditions across all current and future Platform systems.
Termination or suspension of access shall not affect any rights of Nowaitlist Pieces that by their nature are intended to survive termination, including intellectual property rights, enforcement rights, indemnification rights, and any accrued legal claims.
Nowaitlist Pieces shall not be liable for any loss, damage, or inconvenience arising from any suspension or termination carried out in accordance with this Section.
SECTION 5 — TRADEMARKS AND BRAND IDENTITY
All trademarks, service marks, trade names, logos, visual identities, editorial formats, and any associated brand elements displayed on or in connection with Nowaitlist Pieces are the exclusive intellectual property of Nowaitlist Pieces or its duly authorised licensors.
These brand assets constitute protected intellectual property and proprietary commercial and editorial identifiers. They may not be used, reproduced, adapted, modified, distributed, or otherwise exploited in any form without the prior written consent of Nowaitlist Pieces. This restriction applies to all uses, including commercial, editorial, promotional, derivative, or comparative applications.
Any unauthorised use of Nowaitlist Pieces’ branding or identity elements, including any use that creates a likelihood of confusion, implies endorsement, suggests affiliation, or misrepresents the origin, nature, or authorship of content or services, is strictly prohibited.
This includes, without limitation, imitation of the platform’s visual presentation, editorial layout systems, typographic structure, or distinctive design language where such imitation is likely to cause confusion or reasonably suggests association with Nowaitlist Pieces.
Nowaitlist Pieces reserves the right to take any appropriate legal, injunctive, or administrative action in response to any infringement, dilution, passing off, or misuse of its trademarks or brand identity.
SECTION 6 — USER CONTENT, CONTRIBUTIONS AND CONDUCT
This Platform may permit Users, Contributors, Collaborators, or third parties to submit, upload, publish, transmit, or otherwise make available content, including but not limited to text, imagery, audiovisual material, commentary, data, or any other form of expression (collectively “User Content”).
By submitting User Content to or through the Platform, the User represents and warrants that they are the lawful owner of such content or that they hold and have obtained all necessary rights, licences, consents, and permissions required for its use, publication, distribution, and exploitation. The User further represents and warrants that such content does not infringe any intellectual property rights, privacy rights, publicity rights, or any other rights of any third party.
All User Content remains the sole responsibility of the submitting User. Nowaitlist Pieces does not endorse, verify, or assume responsibility for the accuracy, legality, or reliability of any User Content submitted by third parties.
By submitting User Content, the User grants Nowaitlist Pieces a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, transferable and sublicensable licence to use, reproduce, distribute, display, adapt, edit, publish, translate, and otherwise exploit such content in any media format or distribution channel, whether now known or hereafter developed, for purposes including but not limited to operating, promoting, archiving, developing, or commercialising the Platform and its associated editorial, media, and institutional activities.
Nowaitlist Pieces reserves the right, acting reasonably and at its discretion, to review, moderate, refuse, remove, edit, restrict, or disable access to any User Content at any time, with or without notice, where such content is unlawful, misleading, defamatory, infringing, offensive, in breach of these Terms, or otherwise reasonably considered harmful to the integrity, reputation, or operational interests of the Platform.
Users shall not submit content that is unlawful, abusive, discriminatory, defamatory, harassing, misleading, or otherwise inconsistent with the standards and institutional values of the Platform. Any attempt to manipulate, exploit, or interfere with the Platform through automated systems, scraping, impersonation, fraud, or coordinated abuse is strictly prohibited.
Nowaitlist Pieces shall not be liable for any loss, damage, or harm arising from User Content or from reliance on User Content published on the Platform.
SECTION 7 — PLATFORM INTEGRITY, PROHIBITED ACTIVITIES AND RESTRICTED USE
Nowaitlist Pieces operates as an editorial, cultural, and media platform with a defined institutional identity. The integrity, credibility, and independence of the Platform are fundamental to its operation and must not be compromised through misuse, misrepresentation, or improper association.
Accordingly, Users, Collaborators, Contributors, and any third parties interacting with the Platform agree that the Website, its Content, its brand identity, and any associated media outputs shall not be used, directly or indirectly, for unlawful, misleading, or reputationally harmful purposes.
Without limitation, the Platform, its Content, or its brand identity may not be used in any manner that promotes, facilitates, or may reasonably be interpreted as endorsing gambling, betting, wagering, gaming stakes, or any form of speculative or chance-based financial activity. No Collaborator, Contributor, or third party may represent themselves as acting on behalf of, officially representing, or being endorsed by Nowaitlist Pieces without prior written authorisation. Any unauthorised representation of affiliation, partnership, or endorsement is strictly prohibited and may result in immediate suspension of access, removal of Content, and the pursuit of legal or equitable remedies where appropriate.
The Platform shall not be used in any manner that damages, dilutes, or misrepresents the brand identity, editorial independence, institutional credibility, or commercial positioning of Nowaitlist Pieces. This includes the use of Content in misleading contexts, materially altered interpretations that distort meaning, or placement within environments that are reasonably inconsistent with the Platform’s standards or values.
Any unauthorised scraping, harvesting, replication, extraction, or systematic collection of Content, data, or structural elements of the Platform for commercial, competitive, or automated purposes is strictly prohibited unless expressly authorised in writing by Nowaitlist Pieces.
Nowaitlist Pieces reserves the right, acting reasonably and at its discretion, to determine whether any activity, use, or association constitutes a breach of this Section and may take appropriate action including suspension of access, withdrawal of permissions, removal of Content, and any other legal or equitable remedies available under applicable law.
SECTION 8 — TERMINATION, SUSPENSION AND ENFORCEMENT
Nowaitlist Pieces reserves the right to suspend, restrict, limit, or permanently terminate access to the Website, its services, its Content, or any associated features at any time, with or without notice, and at its discretion, where reasonably necessary to protect the integrity, security, operational continuity, editorial standards, legal position, or institutional reputation of the Platform.
Such measures may be implemented where there is reasonable belief of a breach of these Terms, misuse of the Platform, conduct that undermines or is reasonably likely to undermine the integrity or reputation of Nowaitlist Pieces, or any activity that is unlawful, harmful, or inconsistent with the operational principles, editorial standards, or institutional framework of the Platform.
Termination or suspension may apply to individual Users, Collaborators, Contributors, or associated accounts, systems, or entities, and may include removal of Content, restriction or revocation of access permissions, blocking of future access, or limitation of participation in Platform-related activities.
Nowaitlist Pieces shall not be required to provide prior notice, explanation, or justification for enforcement actions taken under this Section where such disclosure is not reasonably practicable, is not required by applicable law, or may reasonably compromise the Platform’s security, legal position, or operational integrity.
In the event of termination or suspension, any rights granted to the User under these Terms shall immediately cease, except where expressly stated otherwise or where continuation is required by applicable law or necessary to give effect to surviving obligations.
Any provisions of these Terms which by their nature are intended to survive termination, including but not limited to intellectual property rights, licences granted to Nowaitlist Pieces, disclaimers, limitations of liability, indemnities, and governing law provisions, shall survive termination and remain in full force and effect.
SECTION 9 — DISCLAIMER OF WARRANTIES AND PLATFORM REPRESENTATIONS
The Website, including all Content, materials, features, editorial outputs, data, and services made available through it, is provided on an “as is” and “as available” basis, without any representations or warranties of any kind, whether express, implied, statutory, or otherwise, to the fullest extent permitted under applicable law.
Nowaitlist Pieces disclaims all warranties, representations, and conditions, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, reliability, or uninterrupted or error-free operation.
Nowaitlist Pieces does not warrant or guarantee that the Website will be secure, free from errors, viruses, interruptions, delays, or other technical limitations, nor does it guarantee that defects will be corrected.

SECTION 10 — LIMITATION OF LIABILITY
